Affiliate Program Terms & Conditions

1)Purpose and Scope

These Affiliate Program Terms & Conditions (the "Terms") govern participation in the Collegelinkr Affiliate Program operated by Sawara Solutions Private Limited ("Collegelinkr", "Company", "we", "us" or "our"). The Program is designed to enable eligible partners to introduce suitable colleges, universities, education institutions, admission professionals and/or eligible members to Collegelinkr and to receive the applicable incentive or commission for qualifying, verified and attributable outcomes.

The Program is relationship-driven and performance-based. Participation does not guarantee any minimum number of referrals, admissions, members, revenue, commission, or future business opportunity.

These Terms are intended to work alongside the applicable Collegelinkr platform terms, privacy policy, college partnership agreement, member terms and any commercial schedule communicated to the Affiliate.

3)Eligibility and Onboarding

• Affiliate approval is at Collegelinkr's discretion. We may approve, reject, suspend or place an application under review based on relevance, quality, compliance, duplication, reputation, geography, fraud risk or other legitimate business reasons.
• An Affiliate must provide accurate onboarding details and any information reasonably required for KYC, payment, tax or verification purposes.
• Where required, Affiliates must be legally capable of entering into contracts and must comply with the laws applicable to their activities.
• Collegelinkr may require identity, GST, PAN, bank account, business or entity verification before releasing any payment.

4)Program Models

The Program may have one or both of the following tracks:

• College Referral Affiliate: introducing a college/university/institution that becomes a qualifying Collegelinkr client/partner.
• Member / Admission-Consultant Affiliate: introducing a person who becomes an eligible Collegelinkr Member, Admission Educational Consultant or other approved partner.

Collegelinkr may add, modify or discontinue referral categories, payout models, eligible products or geographies by updating the applicable Commercial Schedule or Affiliate Dashboard.

5)Referral Attribution

1. Referral attribution normally requires the referred party to use the Affiliate's authorised referral link, referral code, tracked form, invite flow or other approved attribution mechanism.
2. Where direct tracking is unavailable, Collegelinkr may use reasonable documentary evidence or CRM attribution to determine the source of a referral.
3. Only one Affiliate will ordinarily receive attribution for a single qualifying referral. Where multiple Affiliates claim the same party, Collegelinkr may apply a first-valid-referral, last-valid-referral or documented attribution rule at its reasonable discretion.
4. Existing customers, members, colleges, leads or contacts already known to Collegelinkr may be ineligible, even if subsequently referred by an Affiliate.
5. Self-referrals, employee referrals where prohibited, duplicate registrations, recycled leads, fabricated leads and referrals generated through unauthorised means are not qualifying referrals.

6)Commission / Incentive Rules

The amount and timing of each incentive are governed by the Commercial Schedule applicable on the date the qualifying outcome occurs, unless the applicable schedule expressly provides otherwise.

• Collegelinkr pays only on qualifying outcomes that have been verified and have survived any applicable validation, cancellation, refund or fraud review period.
• Commission or incentive calculations may be net of GST, TDS, withholding, refunds, reversals, credit notes, chargebacks and other adjustments as applicable.
• No Affiliate may describe a Program payout as a guaranteed salary, fixed monthly income, employment benefit or assured earning opportunity.
• Collegelinkr may withhold or recover amounts arising from fraud, duplicate attribution, ineligible referrals, reversals, cancellations, data manipulation or payment errors.
• Benefits will continue till 15 years.

7)College Referral Affiliate Terms

A College Referral Affiliate may introduce an educational institution to Collegelinkr. A referral becomes commercially eligible only when the institution is accepted by Collegelinkr and satisfies the applicable onboarding and revenue conditions.

• The Affiliate must not represent that it has authority to bind Collegelinkr or the referred institution unless expressly authorised.
• The Affiliate must not promise a particular commission to the college or guarantee admissions, applications, student volumes or revenue.
• Where the applicable Commercial Schedule provides a recurring referral incentive, such incentive is calculated only on the basis expressly stated in that schedule and only while the referred institution remains an eligible active account.
• The Affiliate must not claim commission on a college already in active commercial discussion, contracted, onboarded or otherwise attributed to another partner unless Collegelinkr approves the attribution.

8)Member / Admission-Consultant Affiliate Terms

A Member Affiliate may introduce individuals who wish to become Collegelinkr Members, Onboarding Associates, Affiliate Partners, Academic Partners or other approved partner categories.

• Any onboarding incentive applies only once per eligible new member unless the Commercial Schedule expressly states otherwise.
• A recurring incentive, where offered, applies only to qualifying referred-member activity expressly covered by the Commercial Schedule and does not create an entitlement to all future activity of that person.
• The referred individual must complete the required registration, verification and eligibility steps.
• Affiliate messaging must accurately describe the opportunity and must not present it as a guaranteed job, salary, internship selection or fixed monthly income.

9)Prohibited Activities

• Spam, bulk unsolicited messaging, robocalling, misleading WhatsApp broadcasts or unlawful telemarketing.
• Fake accounts, duplicate accounts, self-referrals, bot traffic, purchased or scraped personal data, fabricated leads or falsified applications.
• Misrepresentation of Collegelinkr's products, fees, commissions, admissions outcomes, college relationships or guarantees.
• Use of paid search or advertising that impersonates Collegelinkr, bidding on Collegelinkr trademarks or creating confusingly similar domains/pages without written approval.
• Cookie stuffing, forced clicks, hidden redirects, automated click generation, device manipulation or other attribution interference.
• Collection of Aadhaar numbers, OTPs, passwords, bank PINs, card PINs or other unnecessary highly sensitive credentials.
• Any activity that breaches applicable law, platform terms, privacy obligations, college policies or third-party rights.

10)Brand, Marketing and Communications

• Affiliates may use approved Collegelinkr logos, creatives and programme descriptions only in the form and manner authorised by Collegelinkr.
• Affiliate content must be truthful, current, clear and not misleading.
• Where required by law or platform rules, Affiliates must clearly disclose their relationship with Collegelinkr and the possibility of receiving a referral incentive.
• Affiliates must not alter official brand assets to imply ownership, endorsement or employment by Collegelinkr.

11)Student and College Data Responsibilities

Affiliates shall collect and share personal data only where lawful and reasonably necessary for the referral. Personal data must be accurate, relevant, secured against unauthorised access and used only for the disclosed purpose. Where consent or another lawful basis is required, the Affiliate is responsible for obtaining it.

Affiliates must promptly notify Collegelinkr of suspected data breaches, misdirected disclosures, unauthorised access or complaints relating to personal data shared through the Program.

12)Validation, Reversals and Adjustments

• Collegelinkr may place transactions into a validation period before they become payable.
• An approved transaction can be reversed where the underlying customer/member/college is found to be ineligible, cancels, receives a refund, is a duplicate, is linked to fraud, or where the underlying revenue is not realised.
• Negative balances may be carried forward and adjusted against future commissions where legally permissible.
• Collegelinkr's tracking and transaction records will be the primary record for Program administration, subject to correction of demonstrable errors.

13)Payments, Taxes and Records

• Payments are generally made through bank transfer or another approved payment method after the applicable payout threshold and validation requirements are met.
• Affiliates are responsible for providing accurate bank, PAN/GST and tax documentation when required.
• Tax withholding, TDS, GST treatment and other statutory deductions will be handled in accordance with applicable law and the Affiliate's status.
• Affiliates are responsible for their own income-tax, GST and other tax compliance unless the law expressly places an obligation on Collegelinkr.

14)No Employment or Agency Relationship

Participation in the Affiliate Program does not create an employer-employee relationship, partnership, franchise, agency, joint venture or fiduciary relationship between Collegelinkr and the Affiliate. The Affiliate is an independent referral partner and has no authority to bind Collegelinkr.

15)Intellectual Property

• Collegelinkr retains all rights in its trademarks, software, websites, applications, databases, content, designs, processes, documentation and other intellectual property.
• Affiliate-created promotional material that incorporates Collegelinkr IP must be used only for the Program and in accordance with these Terms.
• Except for the limited marketing licence expressly provided by Collegelinkr, no rights are transferred to the Affiliate.

16)Confidentiality

Each party shall keep confidential non-public business, commercial, customer, college, member, pricing, technical and financial information received through the Program and shall use it only for legitimate Program purposes.

17)Suspension and Termination

• Either party may end participation in the Program by written notice, subject to outstanding validation and payment obligations.
• Collegelinkr may immediately suspend or terminate an Affiliate for fraud, abuse, policy violations, unlawful conduct, brand misuse, data misuse, material misrepresentation or conduct likely to harm Collegelinkr or its partners.
• Termination does not automatically cancel properly earned, validated commissions; however, amounts linked to fraud, reversal or ineligible transactions may be withheld or recovered.

18)Limitation of Liability

To the maximum extent permitted by law, Collegelinkr will not be liable for indirect, incidental, special, consequential or loss-of-profit damages arising from Affiliate participation. The Program is provided on an as-available basis and may be changed, paused or discontinued.

19)Indemnification

The Affiliate agrees to indemnify and hold harmless Collegelinkr, its directors, employees and representatives against claims, losses, penalties, costs and reasonable expenses arising from the Affiliate's breach of these Terms, unlawful conduct, misleading representations, misuse of personal data, infringement of third-party rights or unauthorised marketing activities.

20)Changes to the Program

Collegelinkr may revise these Terms, commercial schedules, eligible actions and operational rules from time to time. Material changes may be communicated through the Affiliate Dashboard, website, email or other reasonable electronic means. Continued participation after the effective date of a change constitutes acceptance, subject to applicable law.

21)Governing Law and Dispute Resolution

These Terms are governed by the laws of India. The parties shall first seek good-faith resolution. If a dispute cannot be resolved commercially, it may be referred to arbitration by a sole arbitrator mutually appointed by the parties, with the seat and venue at Bengaluru, Karnataka, subject to the Arbitration and Conciliation Act, 1996, as amended. Courts at Bengaluru shall have jurisdiction subject to applicable law.

22)General Terms

• If any provision is held unenforceable, the remaining provisions continue to the extent permitted by law.
• No waiver is effective unless made in writing, and a single waiver does not constitute a continuing waiver.
• These Terms may be accepted electronically and may be incorporated by reference into the Affiliate registration flow.
• These Terms should be read with Collegelinkr's Privacy Policy and any applicable College Partnership / Member Terms.

The following is the proposed Collegelinkr commercial framework and should be finalised in the Affiliate Dashboard / commercial schedule before launch:

24)Schedule B - Referral Attribution Rules

• Referral links/codes must be used in the authorised format.
• A referral should be registered before the underlying party is already in an active sales or onboarding cycle, unless Collegelinkr confirms otherwise.
• Attribution disputes must be raised with evidence within the period specified by Collegelinkr.
• Collegelinkr may make a final attribution determination using CRM records, timestamps, referral links, submitted documents and other reasonable evidence.

25)Acceptance

By signing up for the Affiliate program, you "I Agree", submitting an Affiliate application, using an Affiliate link/code, or otherwise participating after being provided these Terms, the Affiliate acknowledges that the Affiliate has read, understood and agreed to these Terms, subject to applicable law.
